TATA TRUSTS PROPOSE RESTRUCTURING OF TATA SONS TO AVOID MANDATORY LISTING

September 28, 2026

Tata Trusts has proposed a major restructuring of Tata Sons by merging two operating companies into the group’s holding company, in an effort to change its regulatory classification and allow it to remain an unlisted private entity.

Under the proposal, Tata Electronics Systems Solutions and Tata Consulting Engineers would be merged with Tata Sons. Tata Trusts, which holds about 66% of Tata Sons, has asked the company’s board to consider the plan and seek a no-objection certificate from the Reserve Bank of India.

The proposed restructuring is intended to transform Tata Sons from primarily a holding company into an entity with substantial operating activities. According to the Trusts, this could take the company outside the regulatory definitions of a non-banking financial company and a core investment company, potentially removing the requirement for a public listing.

The proposal comes after the Reserve Bank of India rejected Tata Sons’ request to surrender its registration as a core investment company, reviving the possibility of a stock-market listing. Tata Sons’ board had subsequently taken steps towards complying with the applicable regulatory requirements.

The restructuring still requires approval from the Tata Sons board and regulatory clearance from the RBI. The proposal has emerged amid an ongoing disagreement between Tata Trusts and the Tata Sons board over the company’s future structure, governance and potential listing.

If approved, the plan would represent a significant change in Tata Sons’ corporate structure while allowing the group to explore an alternative to a public listing.
